Agreement to Terms

By clicking "I Agree," registering for an account, or accessing the FishPal service ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

Description of Service

FishPal is an AI-powered fishing assistant that provides tools and information to help anglers plan and enjoy fishing trips in Ontario. Features may include personalized recommendations, mapping tools, regulations information, AI-powered assistance, and other functionality that we may add, modify, or discontinue from time to time.

The Service may be offered with different feature sets or usage limits depending on your account type or subscription level. We reserve the right to modify features, usage limits, and pricing at any time with notice to subscribers.

User Accounts

To access certain features, you may need to create an account or authenticate through a third-party service. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us promptly of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 13 years old to use the Service. If you are under 18, you must have parental or guardian consent.

Subscriptions and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to the following:

• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date.
• Payment Authorization: You authorize FishPal to charge the payment method on file for all subscription fees and applicable taxes.
• No Refunds: Payments are non-refundable and there are no credits for partially used subscription periods, except as required by law or as expressly provided in these Terms.
• Price Changes: We may change subscription prices with at least 30 days' notice. Continued use after the price change takes effect constitutes acceptance of the new price.

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Use automated systems to extract data or circumvent usage limits
• Impersonate any person or entity
• Share account credentials or transfer your account to others
• Use the Service to transmit harmful code or content
• Violate the rights of others or any applicable laws

We reserve the right to remove content, suspend accounts, or take other action we deem appropriate to enforce these Terms or protect the Service and its users.

Fishing Regulations Disclaimer

Important: FishPal is not a legal document and does not provide legal advice. The regulations information presented through the Service is a secondary interpretation of official sources for your convenience only.

The official source of Ontario fishing regulations is the Ontario Ministry of Natural Resources and Forestry (MNRF) and the Ontario Fishery Regulations under the federal Fisheries Act. In the event of any conflict between information provided by FishPal and the official Ontario Fishery Regulations, the official legislation always prevails.

Regulations change frequently and may vary by location, season, species, and other factors. You are solely responsible for:

• Verifying current regulations with official sources before fishing
• Obtaining and carrying a valid fishing license
• Complying with all applicable laws and regulations
• Understanding current catch limits, size restrictions, and season dates for your specific situation

FishPal is not liable for any fines, penalties, or consequences resulting from reliance on information provided through the Service.

AI and Automated Features

The Service uses artificial intelligence and automated technologies to provide recommendations and other features. You acknowledge and agree that:

• AI-generated content is provided for informational purposes only
• Recommendations are based on available data and algorithms that have inherent limitations
• AI outputs may contain errors, inaccuracies, or inappropriate content
• You should independently verify information and use your own judgment
• AI features may change, be modified, or be discontinued at any time

Your use of AI features may be subject to usage limits. Information you provide may be processed by third-party AI services as described in our Privacy Policy.

Safety, Location Data, and Assumption of Risk

Fishing and outdoor activities involve inherent risks. You acknowledge that you participate in such activities at your own risk. You are solely responsible for:

• Assessing weather, water, and environmental conditions
• Ensuring your safety and the safety of others
• Using appropriate safety equipment and practices
• Making your own decisions about whether conditions are safe for fishing

FishPal provides information that may be helpful in planning, but does not guarantee the accuracy of weather forecasts, water conditions, or other environmental information. Never rely solely on the Service for safety-critical decisions.

Location Disclaimer: FishPal does not inspect, maintain, or control any fishing locations displayed in the Service. We assume no responsibility for the condition of terrain, water or ice safety, wildlife hazards, or private property rights at any location or coordinate shown in the Service. You are solely responsible for verifying that you have lawful access to any location and that conditions are safe before proceeding.

Intellectual Property

The Service and its content, features, and functionality are owned by FishPal and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

User Content

You retain ownership of content you submit to the Service. By submitting content, you grant FishPal a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute your content in connection with operating and improving the Service.

You represent that you have the necessary rights to submit content and that your content does not violate any laws or third-party rights. We may remove content that violates these Terms or that we otherwise deem inappropriate.

Third-Party Services

The Service integrates with and relies upon third-party services for various functionality, including but not limited to mapping, authentication, AI processing, and hosting. The availability and functionality of the Service depends on these third-party services, which are outside our control.

We are not responsible for the availability, accuracy, or performance of third-party services, or for any changes they may make that affect the Service.

Service Availability

We strive to maintain the Service but do not guarantee uninterrupted availability. The Service may be unavailable due to maintenance, updates, technical issues, or factors beyond our control. We may modify, suspend, or discontinue features or the entire Service at any time.

Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Disclaimer of Warranties

TO THE EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE CONSUMER PROTECTION ACT, 2002 (ONTARIO), THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION PROVIDED WILL BE ACCURATE, COMPLETE, OR CURRENT. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY OR LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FISHPAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify and hold harmless FishPal and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or your fishing or outdoor activities.

Termination

Termination by You

You may terminate your account at any time through your account settings or by contacting us at info@fishpal.ai. If you have an active subscription, cancellation will take effect at the end of your current billing period.

Termination by FishPal

For Cause: We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or otherwise abuse the Service. No refund will be provided for termination for cause.

Without Cause: We may discontinue or terminate the Service or your account for any reason with 30 days' notice. If we terminate your paid subscription without cause, you will receive a pro-rated refund for any unused portion of your subscription period.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive.

Dispute Resolution

If you have a dispute with us, we encourage you to contact us first to seek an informal resolution. Most concerns can be resolved quickly through direct communication.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes that cannot be resolved informally shall be resolved in the courts of Ontario, Canada, and you consent to the jurisdiction of such courts.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and FishPal regarding the Service.

Severability: If any provision is found unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in effect.

Waiver: Our failure to enforce any provision does not waive our right to enforce it later.

Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights to any affiliate or successor.
